1. Agreement to Terms

These Terms and Conditions constitute a legally binding agreement between you (whether individually or on behalf of an entity, "User", "You") and PRODAAAPS VENTURE PRIVATE LIMITED (short form: "Prodaaps", "Company", "We", "Us").

By accessing prodaaps.com, requesting product demonstrations, procuring software licenses, or accessing our client console, you agree to be bound by these Terms and Conditions and all applicable Indian statutory laws.

2. Intellectual Property Rights & Software Licenses

All software architectures, source code, database schemas, proprietary algorithms, interface designs, trademarks, visual documentation, and brand assets relating to Prodaaps platforms (including Telecom & Digital Forensics Platform, GPS & Fleet Telematics, and Smart School ERP) are the sole and exclusive proprietary property of PRODAAAPS VENTURE PRIVATE LIMITED.

• Software licenses granted to clients are strictly limited, non-transferable, and non-sublicensable as defined in individual commercial agreements.
• Reverse engineering, decompilation, unauthorized extraction, distribution, or duplication of proprietary software modules is strictly prohibited and subject to legal prosecution under Indian copyright and intellectual property laws.

3. Authorized Use & Prohibited Conduct

Users agree not to:

• Attempt unauthorized access to our server infrastructure, administrative portals, or client databases.
• Engage in any automated scraping, flood requests, or activities that disrupt network stability.
• Use software tools or platforms for unlawful purposes or in violation of Indian communication regulations.

4. Commercial Terms, Invoicing & Payments

Commercial software licenses, on-premise deployments, and annual maintenance contracts (AMC) are governed by formal enterprise service contracts and purchase orders:

• All payments shall be made in Indian Rupees (INR) or agreed foreign convertible currency through authorized banking channels or designated payment gateways.
• Applicable Goods and Services Tax (GST) and statutory duties are billed in accordance with prevailing Indian tax regulations.

5. Merchant Disclaimers & Limitation of Liability

We as a merchant shall be under no liability whatsoever in respect of any loss or damage arising directly or indirectly out of the decline of authorization for any transaction on account of the cardholder having exceeded the preset limit mutually agreed by us with our acquiring bank from time to time.

To the maximum extent permitted by applicable law, Prodaaps shall not be liable for any indirect, incidental, or consequential damages resulting from platform downtime, communication network outages, or hardware incompatibilities.

6. Governing Law & Dispute Resolution

These Terms and Conditions shall be governed by and construed in accordance with the laws of the Republic of India. In the event of any legal dispute arising from these terms or platform usage, the courts of competent jurisdiction in Bangalore, Karnataka, India shall have exclusive jurisdiction.
